Overview

Seismic is the global leader in AI-powered go to market preparation and performance software, used by more than 2500 of the world's leading enterprises, including many in financial services and other regulated industries. We are seeking an England and Wales-qualified Commercial Solicitor to join the legal team of a mature, but still fast-growing SaaS business. You'll own the drafting, negotiation and risk assessment of commercial agreements across EMEA (focusing on customer agreements but also working on partner and vendor agreements as well), balancing commercial pragmatism with risk management in a subscription SaaS model. The successful candidate will act as a trusted, business-embedded Legal partner to our Go-to-Market (GTM) Sales, Deal and Revenue Operations, Procurement, Security, Partner, and Product teams.

LOCATION is remote-first. We also have a wonderful and well attended London office you will have the ability to work from and on occasion may be asked to visit.

Who you are:

Required Qualifications & Experience

  • Qualified solicitor in England & Wales (or equivalent UK jurisdiction), currently in good standing with the SRA.

  • PQE appropriate to the level being hired (typically 3+ years for Commercial Counsel; 7+ years for Senior Commercial Counsel), with substantial in-house or law firm experience in technology/commercial transactions. Experience in a high-growth or publicly traded SaaS company, particularly one selling into regulated or enterprise customer bases, including financial services is a plus.

  • Demonstrated experience drafting and negotiating SaaS/technology commercial agreements, including MSAs, order forms, and DPAs, and vendor contracts.

  • Experience negotiating customer information security requirements, AI terms, and vendor risk/security exhibits in a multi-tenant SaaS environment.

  • Additional practical experience in or familiarity with GDPR, UK GDPR as applied to commercial contracting, as well as DORA terms.

  • Strong commercial business judgment and ability to independently assess and communicate risk to non-lawyer business stakeholders.

  • Excellent drafting, negotiation, and communication skills, with the ability to manage a high-volume deal pipeline under time pressure.

  • Experience being a key member of cross-functional process improvement initiatives as well as legal department specific projects.

Key Competencies

  • Pragmatic, business-forward approach to risk — able to distinguish material risk from immaterial friction.

  • A results-focused attitude where high ownership of matters is expected, and limited bureaucracy is the culture.

  • A team-first, low ego, humble mindset.

  • Confidently be able to work with stakeholders.

  • Process-minded: interested in improving templates, playbooks, and workflow efficiency, not just individual deals.

  • Resilient, responsive, and attentive under deadline pressure typical of quarter-end/enterprise sales cycles.

  • Willingness to coach business teams and actively seek coaching and feedback.

What you'll be doing:

  • Draft, review, and negotiate a high volume of commercial agreements, including SaaS subscription agreements, master services agreements (MSAs), order forms, data processing agreements (DPAs), reseller/channel partner agreements, and vendor/procurement contracts with EMEA-based prospects and customers.

  • Negotiate security exhibits, AI terms, IT security policies, and audit/right-to-audit clauses against the company's standard security posture and certifications as a frontline matter with support, if/as needed, from internal SMEs.

  • Partner with Sales and Deal Ops to structure and close enterprise deals, including pricing, liability caps, service levels, and termination terms, within approved playbooks and escalation thresholds.

  • Manage subcontractor and vendor flow-down obligations, ensuring consistency between customer commitments and the company's vendor risk management program.

  • Work with the Legal team to help maintain and continuously improve contract templates, playbooks, fallback positions, and internal negotiation guidance to increase deal velocity and consistency.

  • Support cross-functional stakeholders (GTM, Customer Success, DealOps, InfoSec, Finance, and Product) on contract interpretation, compliance questions, and dispute avoidance.

  • Track and report on contracting trends, common redline patterns, and recurring points of friction to inform template and policy updates.

  • Proactively identify and work to remediate commercial terms with existing customers.

  • Collaborate with team members on departmental process improvements and general projects.
